Senior Associate
As a Senior Associate in our Corporate and Commercial Practice Group, you will play a leading role in handling complex cross-border corporate transactions, managing key client relationships and supporting the development of junior lawyers and associates. You will provide strategic and commercially focused legal advice across a broad range of corporate matters, including mergers and acquisitions, joint ventures, public-private partnerships, corporate governance and commercial contracts.
- Handle and advise clients on a wide range of corporate and commercial matters, including mergers and acquisitions, joint ventures, shareholder agreements and business structuring.
- Managing end-to-end transaction execution, including due diligence, structuring, documentation and closing.
- Independently managing and nurturing client relationships, acting as the primary point of contact and ensuring high levels of responsiveness, professionalism and client satisfaction.
- Provide and present sound legal advice and solutions to clients in a clear and constructive manner and understand clients’ business objectives to provide tailored legal solutions aligned with their commercial goals.
- Supporting the Head of the Corporate and Commercial Practice Group in the development of business development strategies and overall growth of the practice group.
- Supervising, mentoring and reviewing the work of junior lawyers and associates.
- Collaborating across practice groups on cross-disciplinary matters.
- Liaise with authorities, client and counterparty, where applicable.
- Minimum of Bachelor’s Degree in Law (or such other law degree equivalent, including but not limited to a Juris Doctor or a LLM)
- Minimum 3 years of working experience, preferably with a law firm or in corporate and commercial related department.
- Strong English and/or Khmer proficiency. Ability to communicate in Mandarin is also a plus but not necessary.
- Good analytical skills, detail-oriented and meticulous.
- Good verbal and written communication skills.
- Flexible and ability to work with the team in a fast-paced environment.
- Proactive, responsible and able coordinate complex projects and multitask.

Associate
Practice Group: Corporate and Commercial

As an Associate in our Corporate and Commercial Practice Group, you will work closely with our Senior Associates to advise clients on a wide range of corporate and commercial matters, and support senior lawyers in transaction execution, legal research, drafting and client communication.
- Assisting with various registration work with the relevant governmental authorities, including for company incorporation, share transfers or change of company details.
- Handling company secretary services.
- Assisting senior lawyers in advising clients on corporate and commercial transactions, including mergers and acquisitions, joint ventures, business structuring and regulatory compliance.
- Conducting legal research and preparing legal memorandums, legal opinions and client alerts.
- Supporting and leading due diligence processes, under supervision of senior lawyers.
- Assisting with the preparation of pitch materials and fee proposals to clients.
- Maintaining up-to-date knowledge of relevant legal developments and regulatory changes.
- Working closely with senior associates and partners to ensure smooth execution of transactions and client matters.
- Conducting comprehensive research work, including consulting and liaising with the relevant authorities where necessary.
- Translating documents.
- Minimum of Bachelor’s degree in Law (or such other law degree equivalent, including but not limited to a Juris Doctor or a LLM)
- Minimum 1 year of working experience preferably with a law firm or in corporate and commercial related department.
- Strong English and/or Khmer proficiency. Ability to communicate in Mandarin is also a plus but not necessary.

Litigation Lawyer
- Draft court submissions in Khmer and English
- Prepare legal memoranda in Khmer and English
- Translate court submissions and other legal documents between Khmer and English
- Attend court hearings
- Attend meetings with clients, either in person or online
- Minimum Qualifications and Experience
- Admission to the Cambodian Bar is required
- 5–6 years of post-admission experience working as a lawyer in the dispute resolution team of a law firm
- Independent or lightly supervised handling of more than ten court cases
- Experience managing client matters in English
- Master’s degree in Law
- Ability to independently handle routine civil and commercial litigation cases, and to handle complex cases under light supervision
- Experience in arbitration is an advantage
- Languages
- Proficiency in both spoken and written Khmer and English is required
- Ability to communicate in Mandarin is an advantage
