1 Background

CAPRED

CAPRED is an Australia’s flagship development program in Cambodia and is informed by extensive consultations with key stakeholders in the Royal Government of Cambodia (RGC) and the private sector. Building on a 70-year legacy of Australia’s investment in Cambodia’s economic and human development. CAPRED focuses on three pillars: Agriculture and Agro-processing; Trade, Investment and Enterprise Development; and Infrastructure Development. Gender Equality, Disability and Social Inclusion (GEDSI), policy development, and climate resilience are integrated into all of our activities.

The CAPRED program is funded by the Australian Department of Foreign Affairs and Trade (DFAT) and implemented by Cowater International.

Mergers and Acquisitions

Piped water supply in Cambodia is a growing sector; however, it is fragmented. More than 400 Private Water Operators (PWOs) are providing water services, but the majority of them operate small water systems and face constraints such as operational inefficiency, low financial and technological capacity. Water service aggregation could be one of the solutions to improve the efficiency of sector governance and PWOs’ performance.

CAPRED is conducting a pilot intervention on mergers and acquisitions (M&A) as a tool to promote water service aggregation in Cambodia. At this initial stage, the intervention aims to strengthen the capacities of PWOs to build their readiness to implement M&A in piped water supply in Cambodia. CAPRED has selected 6 PWOs to strengthen their capacities in terms of:

  1. Efficient technical operation mainly online monitoring/automation system/supervisory control and data acquisition (SCADA).
  2. Managerial capacity including accounting system, organisational structure, human resources, inventory management and business plan.

Purpose

CAPRED seeks to engage a consulting firm or consortium to address the constraint mentioned above at (2). That is to design a managerial capacity improvement plan, enabling the Six selected PWOs to be ready for M&A and access to impact equity funds. The six selected water systems are locates in: Kandal (1), Prey Veng (1), Kampong Cham (2), Battambang (1), and Banteay Meanchey (1).

Scope of Works

The design of the managerial capacity development plan includes the following tasks:

  1. Assess the current capacity of each PWO against the factors determining successful M&A or access to impact equity funds. The capacity assessment includes, but is not limited to, accounting and finance, organisational structure and human resources, inventory management, and business plan.
  2. Design the managerial capacity improvement plan based on the above assessment that enables them to participate in successful M&A or gain access to impact investment funds.
  3. Estimate the cost to implement the managerial capacity improvement plan. The improvement plan should comprehensively inform PWOs to decide if it is cost-effective to invest in the improvement plan.
  4. Identify the suppliers who could effectively provide services or software (accounting, inventory management, etc.) needed to implement the improvement plan for PWOs.

CAPRED will use the managerial capacity improvement plan suggested by the consulting firm or consortium to discuss with the six selected PWOs and identify who is willing to co-invest with CAPRED in this managerial capacity improvement plan.

Eligibility

  • Qualifications or Specialised knowledge/experience required
  • These tasks require multidisciplinary skillsets, expertise, and experience. The consulting firm or consortium shall have personnel within the team with the following qualifications.
  • Education:
  • At least a bachelor’s degree or above in accounting and finance/business management or a related field.
  • Accreditation:
  • To reputable relevant associations/institutions.
  • Have a base in Cambodia.
  • Technical competencies and Experience:
  • Possess extensive experience in advisory or training support for companies to prepare for or implement M&A, and improving accounting and finance functions, organisational structure, asset management, business development plans, etc.
  • Demonstrated technical capacity to perform the tasks mentioned above in a timely manner.
  • Demonstrated ability to conduct costing from the market to estimate the investment cost.
  • Those possessing experience working on M&A transactions and/or with impact investor is a plus.
  • Other Competencies:
  • Demonstrated high ethical standards.
  • Display cultural, gender, religion, race, nationality and age sensitivity and adaptability.
  • Treat all people fairly without favoritism.
  • Fulfil obligations to GEDSI sensitivity and zero tolerance for sexual harassment.
  • Strictly comply with DFAT Child Protection Code of Conduct and policy (https://www.dfat.gov.au/sites/default/files/child-protection-policy.pdf).

Submission Requirements

The proposals including the Response Form must be submitted no later than 5 pm (Phnom Penh time), 31 December 2023 by email to email provided in the contact details with “PWOs’ Managerial Capacity Improvement for M&A – RFP” in the subject line. Any proposals submitted after this time and date will not be considered.

The applicant is required to submit the Response Form in English language (form provided separately), and with an indication of a daily rate for each task/service as per section C of the Response Form. The rate should include any and all costs to carry out the work in the specified location. In addition to the proposal fee, the applicant should also detil any other relevant assumptions or required terms.
