The Legal Officer manages the legal and regulatory backbone of client and internal operations — from business registration and Ministry licensing to contract review and compliance advisory. This role is the primary point of contact with government bodies, including the Ministry of Commerce and the Securities and Exchange Regulator of Cambodia (SERC), and requires someone comfortable navigating Cambodian administrative procedure in person as well as on paper. Strong drafting skills and sound judgment on legal risk are essential, as the role directly supports client advisory work.
- Business Registration & Licensing
- Register new businesses with the Ministry of Commerce, managing the process from application through to incorporation
- Apply for, renew, and track Ministry licenses required for company and client operations
- Prepare and submit Ministry of Commerce (MoC) annual declarations on time and in full compliance
- Government & Regulatory Liaison
- Draft formal correspondence to the Securities and Exchange Regulator of Cambodia (SERC)
- Visit ministries and government offices in person to submit documents and check on application status
- Maintain organized, up-to-date records of filings, licenses, and government correspondence
- Contract Review & Client Advisory
- Review and draft commercial agreements and contracts on behalf of the company and its clients
- Advise clients and internal stakeholders on legal compliance and regulatory matters
- Khmer - Fluent
- English - Fluent
- Bachelor's Degree in Law or a related field
- Corporate law, compliance, or government relations for 1 to 3 years
- Good working knowledge of Cambodian ministries, licensing procedures, and regulatory bodies; able to travel to ministries for document submission
- Prior experience with SERC filings or fund/investment-related regulatory work
- Experience advising SME clients on legal or compliance matters
