Reporting Line: Corporate Legal Counsel
- Primary functions: Responsible for assisting the Corporate Compliance Officer (the “CCO”) in its compliance-related tasks within TotalEnergies Marketing (Cambodia) “TEMC” and its affiliates, which can be in the forms of, but not limited to:
- By assisting Corporate Legal Counsel “CLC” in reviewing, compiling, proofreading and editing drafts of contracts, MOUS, leases, licenses, policies and other legal documents.
- Responsible to coordinate across departments for contract management within TEMC with accurate contract master list (i.e. orderly safe keeping of all original contracts, amendments, licenses, permits and other legal documents) and must ensure the similar process for the electronic versions exist (scanned) and systematically maintained.
- Assist CLC in coordinating with local and regional legal team/lawyers as well as other departments within the company on all legal-related matters, queries, cases, issues and concerns.
- Monitor, study and develop written summaries of proposed and enacted legislation, regulations, court decisions, industry guidelines, trade journals and other relevant publications.
- Support CLC in ensuring that Company and Regional policies are incorporated and adapted into local contracts/agreements and/or any other legal documents
- Conduct legal research on new projects and gather pertinent legal and practical information.
- Independently and proactively engaged CLC and/or any other relevant expertise to interpret laws and regulations in legal documents.
- Support CLC in the coordination to organize relevant documents required for the processing of application and/or renewal of licenses and permits (e.g. construction permits and licenses, VAT/Patent certificate renewal) for the smooth operations of TEMC
- Support any other ad-hoc legal related matters and/or projects as required
- Primary functions: Responsible for assisting the Corporate Compliance Officer (the “CCO”) in its compliance-related tasks within TEMC and its affiliates, which can be in the forms of, but not limited to:
- Support to ensure adoption of the Group’s Compliance Program, monitoring and reporting the effectiveness, violation and non-conformities
- Assisting the CCO in communicating, promoting the programs, creating awareness, preparing reports, handling activities and training the employees on compliance-related subjects including review of Due Diligence reporting
- Ensuring, reviewing, safekeeping of all compliance-related documentation using the tools, database, Group regulations, internet search, archiving, including but not limited to, reviewing due diligence documentation and discussion, resolution on potential mitigation measures,
- Keeping abreast of regulatory environment and Group policies as well as evolving best practices in compliance control.
- Accountabilities:
- Matters related to legal guidelines and internal compliance policies to monitor enforcement and implementation of such guidelines and policies
- Responsible for alerting, updating and escalating any legal and compliance issues to the CCO/VPCA including any incident of corruption, fraud, non-compliance, antitrust violation, among others, which comes to his/her attention in the course of executing his/her tasks.
- Be abreast on any introduction or amendment of existing regulations, locally and internationally, and with the Group policies and standards affecting TC and its affiliates.
- Education: Bachelor of Law or another degree that includes important studies of the legal field within 1-2 years’ experience in legal or corporate environment
- Skills: Strong organizational skills, attention to detail and an analytical mind to see the complexities of procedures, practices of Cambodian laws and regulations, Ability to work independently and as part of a team.
- Having great communication skills in English and Khmer languages, both written and verbal
